Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Lody products and services, including the website, web app, desktop app, and related features (collectively, the "Services"), provided by LoroHub LLC ("Lody", "we", "us", or "our").

By using the Services, you agree to these Terms.

Lody provides collaboration and code workflow tools, including:

  • Team collaboration features
  • Code editing and task execution workflows
  • Integration with GitHub and related developer tooling
  • AI-assisted agent workflows and conversation features

We may update, improve, or discontinue parts of the Services over time.

3. Eligibility

The Services are available to individual and business users. There is no specific minimum age requirement in these Terms, but you are responsible for ensuring that your use is lawful in your jurisdiction and that you have legal capacity to agree.

4. Accounts and Login

Current sign-in is provided through GitHub OAuth. You are responsible for:

  • Keeping your GitHub account secure
  • All actions taken through your account
  • Ensuring account information is accurate and up to date

5. Acceptable Use

You must not use the Services to:

  • Violate any applicable law or regulation
  • Conduct attacks, abuse, or unauthorized access attempts
  • Scrape or abuse the Services with bots or automated traffic
  • Reverse engineer, decompile, or attempt to extract source code except as permitted by law
  • Share accounts in ways that bypass intended account controls

We may limit or suspend access for violations.

6. User Content and Intellectual Property

You retain ownership of content you submit, upload, or generate through the Services ("User Content").

You grant Lody a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content only as needed to operate, secure, maintain, and improve the Services.

You represent that you have the rights needed to provide and use User Content.

7. Privacy

Our data practices are described in the Privacy Policy. By using the Services, you also acknowledge the Privacy Policy.

8. Third-Party Services

The Services rely on third-party providers, including GitHub, Cloudflare Pages, Cloudflare R2, Convex, PostHog, and Sentry.

Your use of third-party services is also subject to their own terms and policies. We are not responsible for third-party services outside our control.

9. Fees

The Services are currently offered at no charge. If paid plans or paid features are introduced in the future, we will provide notice and applicable billing terms before charges apply.

10. Service Availability and Changes

The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability or error-free operation.

11. Disclaimer of Warranties

To the maximum extent permitted by law, Lody disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Lody will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or business interruption arising from or related to the Services.

13. Indemnification

You agree to defend, indemnify, and hold harmless Lody and its affiliates, officers, employees, and agents from claims, liabilities, damages, and expenses arising out of:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms or applicable law

14. Termination

You may stop using the Services at any time. We may restrict or terminate access if required for security, legal compliance, or Terms enforcement.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict-of-law principles.

Any dispute arising from or related to these Terms or the Services will be resolved in competent courts located in Connecticut, unless applicable law requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate.
